Der Stimmrechtsausschluß wegen einer Interessenkollision ist im Recht des Vereins und der Kapitalgesellschaften teilweise gesetzlich geregelt. Für die BGB-Gesellschaft, die Bruchteils- und die Miterbengemeinschaft fehlt es dagegen an entsprechenden gesetzlichen Bestimmungen. Auch das Schrifttum hat dieses Problem bisher eher nur am Rande behandelt. Zunächst wird im ersten Teil der vorliegenden Arbeit das Stimmrecht als einheitliche rechtliche Erscheinung gesondert für die BGB-Gesellschaft auf der einen und die Bruchteils- sowie die Erbengemeinschaft auf der anderen Seite untersucht. Der zweite Teil beschäftigt sich mit dem Ausschluß des Stimmrechts in den Fällen der 712, 715 und 737 BGB und der Beschlußfassung über Entlastung, Befreiung von einer Verbindlichkeit, Geltendmachung eines Anspruchs sowie Einleitung oder Erledigung eines Rechtsstreits. Schließlich wendet sich der Verfasser dem Stimmrechtsauschluß bei der Abstimmung über die Vornahme eines Rechtsgeschäfts zu. Dabei wird die analoge Anwendung der 34 BGB und 47 Abs. 4 GmbHG näher behandelt. Die Darstellung befaßt sich auch mit den Fällen einer «mittelbaren Betroffenheit» und dem Verhältnis der Stimmverbote zu 181 BGB.

About the Author :
Der Autor: Klaus Kemen wurde 1962 in Viersen geboren. Er studierte von 1982 bis 1987 Rechtswissenschaft an den Universitäten Köln und Freiburg i.Br.. Nach der ersten juristischen Staatsprüfung war er von 1988 bis 1990 als wissenschaftlicher Assistent am Institut für deutsches und ausländisches Zivilprozeßrecht der Universität Freiburg tätig. Seit Ende 1990 absolviert er im Bereich des Kammergerichts Berlin den Vorbereitungsdienst als Referendar.
