Mathäus Mogendorf untersucht den Schutz von Kleinunternehmern gegenüber ihnen strukturell überlegenen Vertragspartnern in grenzüberschreitenden Verträgen. In diesen Konstellationen fehlt es häufig an tatsächlicher Vertragsfreiheit, sodass eine Partei in der Lage ist, für sie günstige Vertragsbedingungen zu diktieren. Der Autor setzt sich mit den Bestimmungen des Europäischen Kollisions- und Zivilverfahrensrecht auseinander, die die freie Wahl des anwendbaren Rechts sowie die Wahl des Gerichtsstandes zum Zwecke des Schutzes eines unterlegenen Unternehmers einschränken. Insbesondere geht er auf die diesbezüglichen Vorschriften der Rom I-Verordnung, der Brüssel I-Verordnung sowie die Rechtsprechung des Europäischen Gerichtshofs ein. Die Effektivität dieser Vorschriften überprüft er sodann anhand eines Vergleichs mit entsprechenden US-amerikanischen Regelungen. Abschließend entwickelt Mathäus Mogendorf einen Vorschlag zur Reform des Europäischen Internationalen Privat- und Verfahrensrechts.
