The object of requiring a deed to be executed was, to provide evidence against persons who were likely to take the benefits of the Company, and to abscond when it failed. The importance of calling upon them to execute the deed is clear. And the 26th sect, is founded on that supposition. Whatever may be the meaning of the word "shareholder" in that section, no shareholder is to have any of the profits or any of the remedies or powers given by the Act, until he has executed the deed and paid all calls due. It would be contrary to the intention of the statute if a person could claim a certificate of shares before completing his title as a shareholder; because it would enable such a party to go into the market with the certificate, which is a prima facie title to the shares, without being bound by the rules of the Company. And thus he would be able to hold out to the world a 1852. false Semblance of title. Wilkinson v. Thb Anoi.o Ckompton, J.--I confine myself to the construction of Caufornun.. By the 51st section, the party Co. who may demand a certificate of shares is to be a holder of shares, which, by section 3, he is not unless he has executed the deed. Unless there is something repugnant, the interpretation clause is to be our guide. I quite agree with what has been said by Lord Campbell, that there is nothing repugnant in section 51. It has been argued that section 26 uses the word "shareholder" in a different sense. It is unnecessary to give an opinion as to that....
